APIs, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.
If you use the Services on behalf of an organization, you represent you are authorized to bind that organization,
and "you" includes that organization.
1. Eligibility and Account Authority
- You must be legally capable of entering into a binding agreement.
- You are responsible for account credentials, activity under your account, and maintaining account security.
- You must provide accurate registration and billing information and keep it current.
2. Service Description
BridgeDesk AI provides AI-assisted receptionist workflows, including chat responses, lead qualification,
booking support, escalation controls, and reporting capabilities.
Features may evolve over time. We may modify, improve, or discontinue components of the Services.
3. Customer Data and Instructions
- You retain ownership of data you submit to the Services ("Customer Data").
- You grant BridgeDesk AI the rights needed to host, process, and transmit Customer Data to provide the Services.
- You are responsible for lawful collection, notices, consent, and instructions for Customer Data.
- You are responsible for configuring workflow policies, escalation paths, and review controls for your use case.
4. AI Output and Human Oversight
- Outputs generated by AI systems may be inaccurate, incomplete, or unsuitable for a specific context.
- You are responsible for reviewing and validating outputs before relying on them in critical decisions.
- The Services are not intended to provide legal, medical, accounting, or other licensed professional advice.
- You must implement human oversight where required by law, regulation, or your internal policies.
5. Acceptable Use
You agree not to:
- Use the Services for unlawful, fraudulent, deceptive, or harmful activity.
- Infringe intellectual property, privacy, publicity, or other rights.
- Upload malicious code, attempt unauthorized access, or disrupt system integrity.
- Use the Services to generate spam, abusive messages, harassment, or discriminatory content.
- Use the Services for prohibited high-risk use cases without required safeguards and approvals.
6. Fees, Billing, and Trials
- Paid features require payment of applicable fees under your order form or selected plan.
- Unless otherwise specified, fees are non-refundable and exclusive of taxes.
- Trial, pilot, or promotional offers may be limited and may convert to paid terms if not canceled in time.
- You authorize us (or our payment processor) to charge the payment method on file for recurring fees when applicable.
7. Intellectual Property
- BridgeDesk AI and its licensors own all rights in the Services, software, models, and related materials.
- Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Services.
- You may provide feedback, and we may use feedback without restriction or compensation.
8. Third-Party Services
The Services may integrate with third-party systems (for example, calendars, CRM tools, and communication platforms).
Your use of third-party services is governed by those providers' terms and policies.
9. Confidentiality
Each party may receive non-public information from the other party and will use reasonable care to protect it.
Confidential information may only be used to perform obligations or exercise rights under these Terms.
10. Suspension and Termination
- We may suspend or terminate access for breach of these Terms, security risk, legal requirements, or non-payment.
- You may stop using the Services at any time, subject to applicable subscription terms.
- Provisions that by nature should survive termination will survive, including payment obligations and limitation clauses.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties
of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability,
fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, BridgeDesk AI and its affiliates will not be liable for any indirect,
incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, goodwill,
data, or business interruption.
To the maximum extent permitted by law, BridgeDesk AI's aggregate liability arising out of or relating to the
Services will not exceed the amounts paid by you to BridgeDesk AI for the Services in the 12 months preceding
the event giving rise to liability.
13. Indemnification
You agree to defend, indemnify, and hold harmless BridgeDesk AI and its personnel from claims, liabilities,
damages, and expenses arising from your use of the Services, Customer Data, or breach of these Terms,
except to the extent caused by our gross negligence or willful misconduct.
14. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles.
Unless otherwise required by applicable law, disputes will be resolved in the state or federal courts
located in Delaware, and each party consents to personal jurisdiction and venue in those courts.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms
on this page and update the last updated date. Continued use of the Services after an update constitutes
acceptance of the revised Terms.
